Rules for using the Center Solutions website, service catalogue, guided selection, intake, and staff-access features

Agreement to these Terms
These Terms govern use of the Center Solutions website and service-request application operated by Impact Work Solutions, LLC (IWS, we, us, or our). By using the site or submitting a request, you agree to these Terms and acknowledge the Center Solutions Privacy Notice. If you use the site for an organization, you represent that you are authorized to act for that organization.
Purpose of the site
The site provides information about IWS services, preliminary service-selection assistance, and a method to submit an inquiry. Catalogue descriptions, guided suggestions, intake results, and displayed prices are informational and do not create a consulting engagement, guarantee acceptance, reserve capacity, or require IWS to perform work.
Service requests and proposals
A submitted request is an invitation for IWS to review the proposed work. IWS may request clarification, decline the request, recommend a different service, or provide a written proposal. An engagement begins only when the parties complete the required agreement, payment, and project-start conditions stated in the proposal. If a proposal or signed agreement conflicts with these website Terms, the proposal or signed agreement controls for that engagement.
Scope and pricing
Displayed prices apply only to requests that fit the published service boundaries and assumptions. Final scope and fee are set after IWS review. Starting prices, introductory prices, fixed prices, timelines, availability, and add-ons may be subject to eligibility, capacity, complexity, information supplied, and the terms of the applicable proposal. Applicable taxes are additional and are the client’s responsibility. IWS will obtain approval and any required advance payment before beginning added or materially changed work.
Information you provide
You agree to provide information that is accurate to the best of your knowledge and to correct material errors promptly. IWS may rely on the information and materials supplied when assessing fit, preparing a proposal, setting a timeline, and performing an engagement. Incomplete, inaccurate, outdated, or materially changed information may require a revised scope, fee, or schedule.
Authorized and prohibited submissions
You may submit information only when you have authority to provide it and its disclosure does not violate law, contract, confidentiality obligations, or another person’s rights. Do not submit malicious code, unlawful material, credentials, payment-card details, Social Security numbers, protected health information, government-classified information, or other highly sensitive data unless IWS expressly authorizes an appropriate secure method and the applicable agreement permits it.
Acceptable use
You may not use the site to interfere with its operation or security; attempt unauthorized access; test vulnerabilities without written authorization; impersonate another person or organization; scrape or copy protected catalogue content at scale; submit false, abusive, infringing, or unlawful material; or use the site in a manner that harms IWS, its clients, its providers, or other users.
Intellectual property
IWS and its licensors retain ownership of the site, catalogue, service designs, methods, frameworks, templates, tools, graphics, and other pre-existing materials. You may view and use public site content for evaluating IWS services, but you may not reproduce, sell, publish, adapt, or create competing materials from it without written permission. Ownership and permitted use of project deliverables are governed by the applicable proposal or agreement.
Client materials and deidentified use
You retain ownership of materials you provide, subject to any rights held by others. You grant IWS the limited rights needed to review the request, prepare a proposal, perform an authorized engagement, maintain required records, and operate the application. Subject to the applicable proposal or agreement, IWS may use deidentified or aggregated information, generalized findings, methods, and work examples for service improvement, education, research, and marketing, provided IWS does not disclose the client’s identity, personal information, confidential information, telephone numbers, or details reasonably likely to identify the client without separate written authorization.
Confidentiality
Website use and intake submission alone do not create a professional-client privilege or replace a confidentiality agreement. IWS will handle submitted information as described in the Privacy Notice and any applicable written agreement. If a request requires special confidentiality terms, raise that need before providing sensitive material.
Communications
You authorize IWS to send operational messages related to your request, account, security, proposal, payment, scheduling, engagement, or submission. Optional marketing communications will be handled separately and may be declined as provided in the message or required by law.
Third party services
The application may depend on third-party hosting, authentication, email, payment, accounting, file-storage, and other providers. IWS does not control independently operated third-party services and is not responsible for their separate terms, availability, or privacy practices.
No guarantees and professional boundaries
IWS provides independent management consulting, assessment, advisory, design, and related services. Website content, preliminary recommendations, and service-selection results are not legal, tax, accounting, insurance, cybersecurity, accessibility-certification, regulatory-compliance, labor-relations, or employment advice. Outcomes depend on circumstances and client decisions; IWS does not guarantee a particular operational, financial, regulatory, employee, or customer result.
Site availability and corrections
IWS may update, suspend, restrict, or discontinue site features, services, prices, or content. IWS may correct clerical, technical, or catalogue errors. If a correction materially affects a pending request, IWS will address it before an engagement is formed.
Disclaimers
The site is provided on an as-available basis. To the fullest extent permitted by applicable law, IWS disclaims warranties arising solely from website use, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement. These disclaimers do not alter express commitments in a signed agreement.
Limitation of liability
To the fullest extent permitted by applicable law, IWS will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from use of or inability to use the website. Any liability connected to a paid engagement is governed by the applicable signed agreement. This section does not exclude liability that cannot lawfully be limited.
Suspension and termination
IWS may restrict or terminate access for suspected misuse, security concerns, legal requirements, or violation of these Terms. Staff access may be disabled or removed when authorization ends. Provisions that by their nature should survive will remain effective, including intellectual-property, confidentiality, disclaimer, liability, and governing-law provisions.
Electronic communications and records
You consent to receiving website and service-request records electronically. Electronic acceptance, acknowledgments, and records may be used where permitted by applicable law. You are responsible for retaining copies of records important to your organization.
Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. The forum and dispute process for a paid engagement will be stated in the applicable agreement. Any website-only claim must be brought in a court of competent jurisdiction in Florida unless applicable law requires otherwise.
Changes to these Terms
IWS may revise these Terms when the application, services, or legal requirements change. The revised version will show a new effective date. Changes apply prospectively unless applicable law or an agreement requires otherwise.
